General Terms and Conditions

These general terms and conditions apply to all downloads, requests, quotations, services, software products and communications of Optimation BV, based in the Netherlands.

By downloading a brochure, submitting a form or using our services, you agree to these terms.

Optimation provides:
• The Optima platform, Testudo, Castellum and related services
• Support for visitors who download information, request quotations or purchase services
• Hardware and software solutions including the Optima platform, Testudo and Castellum
• Consultancy, training, implementation, support, integration and other professional services

These terms apply to all information requests, quotations, agreements, deliveries, implementations, training and support services provided by Optimation.

Deviations are only valid if confirmed in writing by Optimation.

By contacting us or downloading information, the customer accepts these terms.

Information and documentation
• Information on our website, brochures and documentation is intended for general guidance
• Optimation strives for complete and accurate information, but cannot guarantee that all content is always up to date or error free
• No rights can be derived from the provided documentation or technical information

Quotations and agreements
• All quotations are non binding unless stated otherwise
• An agreement is only established after written confirmation by Optimation
• Mentioned delivery times are indicative and not strict deadlines

Delivery and use
• Products are delivered according to the contract or quotation
• Additional licensing terms apply to the Optima platform
• The customer is responsible for the technical infrastructure and data quality required for correct operation of software or machines

Implementation, training and support
• Optimation carries out implementations and training according to an agreed schedule
• The customer ensures employee availability at the agreed times
• Support is provided according to the agreed service level (SLA or standard service)

Privacy and data processing
• Personal data may be processed when downloading documentation or requesting information
• Optimation uses this data only for the requested information, communication and related services
• Data is never shared with third parties without permission
• Optimation complies with the General Data Protection Regulation (GDPR)

Liability
• Optimation is not liable for damage resulting from incorrect use of information, software or machines
• Liability is always limited to the amount agreed in the contract or covered by insurance
• Indirect damage, including consequential loss or lost profits, is excluded

Intellectual property
• All software, documentation, designs, images and texts remain the property of Optimation
• They may not be copied, distributed or used without written permission

Changes, cancellations and project adjustments
• Services can only be cancelled if this has been agreed in writing in advance
• Project or service changes may affect costs and planning

Applicable law
• Dutch law applies to all agreements and disputes
• Disputes will be resolved preferably through mutual consultation
• If this is not possible, disputes will be submitted to the competent court in the Netherlands
